Your letter of September

2, 269 in which you tendered your resig-
nation as Treasurer of Model Cities Mass Convention, Inc., has
caused serious concern on my part about the future of the organiza-
tion.

The questions you raised in your letter, as to procedure and autho-
rity, were valid and should cause the Board to carefully re-examine
its existing method cz operation.

My Program Management stati will be happy to assist you and the
Citizens' Board in establishing proper procedures for operation
which will be in full compliance with the requirements of the City
of Atlanta and the Department of Housing and Urban Development. I

aim asking Mc. Sam Russell to provide vou and all members of the
Citizgens' Board with copies of "Fiscal and Administrative Procedures
for Operating Agencies of Model Cities Projects." These procedures
will be a part of your contract with the City when it is executed

in the near future.

Because I feel that this croun need the valuable experience you
offer it, I hope that vou will re-consider your tender of resigna-
tion, and that they will not see fit to accept your request.
